1. Acceptance of these terms

These Terms and Conditions (“Terms”) govern your access to and use of 22bev.com (the “Site”), operated by 22BEV, Inc. (“22BEV,” “we,” “us” or “our”) of Long Lake, Minnesota. By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

If you use the Site on behalf of a company, you confirm that you are authorized to accept these Terms for it.

2. Who the Site is for

22BEV is a beverage co-manufacturer. The Site presents our services to businesses, such as beverage brands, retailers and other companies, that want a canned beverage produced for them. You must be at least 18 years old to use the Site.

The Site does not sell, advertise or deliver beverages or any other product to consumers. Nothing on it is an invitation to buy or consume any beverage.

3. Information, not an offer

Site content describes our services in general terms and is provided for information only. It is not an offer, a quote, a contract or a guarantee of availability, capacity, price, timeline or result.

Submitting an inquiry does not create a business relationship or bind either party. We provide production, packaging, delivery and other services only under a separate written agreement signed by 22BEV and the client. If that agreement conflicts with these Terms, the agreement controls. We may decline any project at our discretion.

We work to keep the Site accurate and current, but it may contain errors or outdated information, and we may change or remove content at any time without notice.

4. Client products and compliance

Some of the beverages we produce contain hemp-derived THC and are subject to federal, state and local regulation. Under our co-manufacturing model, each client supplies its own recipe, procedures, ingredients and brand design.

Unless a written agreement says otherwise, each client is responsible for its products, including formulas, ingredients, labeling, packaging artwork and marketing claims, and for complying with the laws that apply to those products wherever they are sold. The responsibilities for each project are set out in the written agreement for that project.

Nothing on the Site is legal, regulatory, medical or health advice, and we make no claims about the effects of any beverage.

5. Your submissions

When you send us information through the Site, you confirm that it is accurate and that you have the right to share it. Information sent through the Site is not treated as confidential unless and until it is covered by a written confidentiality agreement, so please do not send formulas, recipes or trade secrets through the contact form.

If you send us feedback or suggestions about the Site or our services, we may use them without any obligation to you. We handle personal information as described in our Privacy Policy.

6. Intellectual property

The Site and its content, including text, photographs, graphics, illustrations, the 22BEV name and logo, and the Site’s design, are owned by or licensed to 22BEV and are protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site in order to evaluate our services. You may not copy, reproduce, modify, distribute, republish or create derivative works from it, or use our name or logo, without our prior written permission.

Other names and trademarks that may appear on the Site belong to their respective owners.

7. Acceptable use

You agree not to:

• Use the Site for any unlawful, fraudulent or misleading purpose.
• Submit false information or impersonate any person or company.
• Send spam, advertising or unsolicited messages through our forms.
• Try to gain unauthorized access to the Site, its servers or related systems, or interfere with their security or operation.
• Introduce viruses or other malicious code.
• Scrape or harvest content or contact details by automated means, except for search-engine indexing allowed by our robots.txt file.
• Use the Site in any way that could damage, disable or overburden it.

We may suspend or block access to the Site for anyone who violates these Terms.

8. Third-party links

The Site may link to third-party websites and services, such as Google Maps. We do not control them and are not responsible for their content, availability or practices. You use them at your own risk and under their own terms.

9. Disclaimers

The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, 22BEV disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by law, 22BEV and its officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or related to your use of, or inability to use, the Site. Our total liability for any claim arising out of or related to the Site will not exceed one hundred U.S. dollars (US$100).

This section applies only to your use of the Site. Liability for production services is governed by the written agreement for those services. Some jurisdictions do not allow certain limitations, so some of them may not apply to you.

11. Indemnification

You agree to defend, indemnify and hold harmless 22BEV and its officers, directors, employees and agents from any claims, losses, damages, liabilities and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms or your misuse of the Site.

12. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-law rules. Any dispute arising out of or related to these Terms or the Site will be brought only in the state or federal courts located in Hennepin County, Minnesota, and you consent to their jurisdiction.

13. General terms

• Changes. We may update these Terms at any time by posting a revised version on this page with a new effective date. If you keep using the Site after a change, you accept the revised Terms.
• Severability. If any provision is found unenforceable, the rest of these Terms stays in effect.
• No waiver. If we do not enforce a provision, we do not give up the right to enforce it later.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and 22BEV about the Site. They do not replace any signed agreement for services.
• Assignment. You may not transfer your rights under these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
